Terms of Service

These Terms of Service ("Terms") govern access to and use of the Audioworm marketing website at https://www.audioworm.fm, the application at https://app.audioworm.fm, and any content, data, or features we provide (collectively, the "Service"). The Service is operated by Bond Solutions, s.r.o., a company registered in the Slovak Republic ("Audioworm," "Company," "we," "us," or "our").

By accessing or using the Service, creating an account, uploading a manuscript, or clicking to accept these Terms where presented, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, each incorporated by reference. If you do not agree, do not use the Service.

1. Acceptance and Changes

We may modify these Terms at any time. If we make material changes, we will post the updated Terms on https://www.audioworm.fm and update the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree to revised Terms, you must stop using the Service.

2. The Service

Audiowormprovides software and related services that convert manuscripts into chapter audiobook audio, including first-page previews, voice preferences, paid production jobs, downloads, transactional emails, and optional publishing to listening stores. Production time targets (including "under 24 hours") are operational goals, not guarantees for every manuscript length or queue condition.

Optional store distribution means we publish your finished audiobook to listening stores you select through our plans. Acceptance, listing, and go-live timing depend on each store's rules, territories, and review processes. We do not guarantee placement on any specific store.

3. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for maintaining the security of the Google or Microsoft account used for sign-in and for activity under your account.

4. Manuscript Rights and Acceptable Use

You represent and warrant that you own or have all rights necessary to upload manuscripts and authorize audiobook production and any optional store publishing you request. You must not upload unlawful, infringing, or harmful content. We may refuse, suspend, or remove projects that appear to violate these Terms or applicable law.

  • Do not attempt to reverse engineer, disrupt, or overload the Service.
  • Do not misuse preview or production capacity for spam or unauthorized scraping.
  • Do not upload content you are not authorized to commercialize as an audiobook.

5. Fees, Billing, and Refunds

Production is priced at $1 per 1,000 billable characters, with a $50 minimum, unless we state otherwise at checkout. Optional store publishing requires a one-time submission fee of $500 plus a 30% share of paid store royalties (no commission on free listings). Upfront payments are processed by Stripe; royalty shares are settled from store proceeds after partner fees.

Because production consumes compute and synthesis resources once started, fees for completed or substantially completed production are generally non-refundable. If a job fails due to our systems before usable audio is delivered, contact legal@audioworm.fm and we will work in good faith to re-run the job or refund the affected charge.

6. Intellectual Property

You retain ownership of your manuscript and the finished audiobook audio produced for your project, subject to the rights of any third-party tools used to generate the audio and any licenses needed for distribution. We retain ownership of the Service, software, branding, and documentation. You grant us a limited license to process your content solely to provide the Service.

7. AI Narration Disclaimer

Narration is generated with computer voices (text-to-speech), not a human narrator studio session, unless we expressly agree otherwise in writing. Preview quality may differ from final production. You are responsible for reviewing outputs before distribution.

8. Third-Party Services

The Service relies on third parties such as Vercel, Supabase, Stripe, Plunk, OpenRouter, and listening-store platforms. Their terms and privacy policies apply to their processing. Store logos and names are trademarks of their owners.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT OUTPUTS WILL MEET EVERY STORE TECHNICAL OR EDITORIAL REQUIREMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Bond Solutions, s.r.o. AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE PROJECT GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT.

12. Indemnification

You will indemnify and hold us harmless from claims arising out of your manuscripts, your lack of rights to produce or distribute an audiobook, your misuse of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if needed to protect the Service or other users. Provisions that by their nature should survive will survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the Slovak Republic, without regard to conflict-of-law rules. Courts in Žilina / the Slovak Republic will have jurisdiction, except where mandatory consumer protections in your country of residence provide otherwise.

15. General

If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and us regarding the Service. Failure to enforce a provision is not a waiver.
